These Terms and Conditions (“Terms and Conditions”) set out the terms for the use of https://opedemy.com/ (the “Site”), the mobile application(s) (the “Application”), and any features, subdomains, content, functionality, products, services (collectively referred to as the “Platform”/ “Opedemy Platform”) offered by Opedemy, a subcompany of Hackules Limited. Hackules Limited is registered under the Bangladesh Companies Act (Act XVIII) of 1994, with the incorporation number C-173353.

These Terms and Conditions apply to all users of the Platform, including Content Providers who create and make available content (“Content Providers”) and Learners who access the Platform to learn a subject or skill (“Learners”). By accessing the Platform, you (“User”) agree to these Terms and Conditions, the Privacy Policy, Refund Policy, Cookies Policy, Accessibility Statement, User Guidelines, and any other terms and policies referenced herein or communicated to you (collectively referred to as the “Platform Terms”). These Platform Terms form a legally binding agreement between you and Opedemy (“Agreement”). If you do not agree, please refrain from using the Platform.

A. About Opedemy and the Platform

In Bangladesh, the Platform is owned, managed, and operated by Hackules Limited, having its registered office at DBI Building (4th Floor), 105 Shukrabad Mirpur Road, Dhanmondi, Mohammadpur, Dhaka, PO : 1207, Bangladesh.

B. Platform Services

Opedemy Platform enables Content Providers to create and offer content in various formats, including audiovisuals, live videos, and written content, across diverse categories (“Content Provider Content”). Opedemy acts as an intermediary between Content Providers and Learners, facilitating the availability of Content Provider Content. Additional services such as question banks, mock tests, live mentorship, and webinars may also be offered directly or in collaboration with third-party platforms.

C. Right to Access and Account Creation

To access certain features of the Platform, you must register and create an account. You must meet the age requirements specific to your jurisdiction and agree to provide accurate and complete information during registration. Accounts are personal and non-transferable. Unauthorized access or use of the Platform may result in suspension or termination of your account.

D. Purchase Terms

Certain services and content on the Platform are chargeable. Pricing, subscription terms, and other conditions will be clearly communicated during the purchase process. All payments are subject to applicable taxes and processed through authorized third-party payment providers. Refunds and cancellations are governed by our Refund Policy.

E. Content and Conduct

Users may submit User-Generated Content to the Platform, subject to adherence to applicable laws and Platform Terms. You agree not to host, display, or publish content that violates intellectual property rights, privacy laws, or other regulations. Opedemy reserves the right to remove content that breaches these terms.

F. Privacy and Data Usage

All data collection and processing activities are governed by our Privacy Policy. By using the Platform, you consent to the collection, use, and sharing of your data as described in the Privacy Policy.

G. Communications

By registering on the Platform, you consent to receive communications from Opedemy via email, SMS, or other channels. You can opt out of promotional communications but will still receive transactional and account-related messages.

H. Intellectual Property

Opedemy and its licensors own all intellectual property rights to the Platform and its content, excluding User-Generated Content. You are granted a limited license to access and use the Platform for personal, non-commercial purposes.

I. Limitation of Liability

To the maximum extent permitted by law, Opedemy shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Platform.

J. Termination

Opedemy reserves the right to suspend or terminate your access to the Platform for violations of these Terms and Conditions or other Platform Terms.

K. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Bangladesh. Any disputes will be resolved through mediation and arbitration in Dhaka, with English as the language of arbitration.

L. Changes to the Terms

Opedemy reserves the right to modify these Terms and Conditions at any time. Continued use of the Platform constitutes acceptance of the updated terms.
